Terms of Business

1. Introduction

These Terms of Business outline the services provided by CAB IT Services Ltd, a Managed Service Provider (MSP), and the terms and conditions under which these services are offered. By engaging our services, you agree to be bound by these terms.

2. Services Provided

We provide a range of managed services, including but not limited to:

• Network Management: Monitoring, managing, and maintaining network

infrastructure.

• IT Support: Onsite, remote, and telephone support.

• Security Services: Managed Anti-Virus, Endpoint Management, Email Filtering, and Microsoft 365 Tenant/User Management.

• Mobile Device Management: Control access to company data and recover from mobile devices.

• Microsoft 365 Management: Tenant management, security monitoring, and

configuration.

3. Service Level Agreement (SLA)

We commit to the following service levels:

• Response Time: Initial response within 2 working hours.

• Resolution Time: Issues resolved within 6 hours depending on severity.

4. Client Responsibilities

Clients are responsible for:

• Providing accurate and timely information.

• Ensuring compliance with our security protocols.

5. Fees and Payment Terms

• Monthly Fees: Services are billed monthly.

• Payment Terms: Invoices are due within 30 days of receipt by Direct Debit.

• Late Payments: Late payments may incur a fee of 2%.

6. Confidentiality

Both parties agree to maintain the confidentiality of all information exchanged during the agreement.

7. Data Protection

We comply with all relevant data protection laws, including GDPR. A Data Processing Agreement (DPA) will be provided as an addendum to this agreement.

8. Termination

Either party may terminate the agreement with 30 days’ notice. Termination for cause may occur if either party breaches the terms of this agreement.

9. Liability

Our liability is limited to the amount paid for the services in the month. We are not liable for any indirect or consequential damages.

10. Governing Law

This agreement is governed by the laws of the United Kingdom.

11. Amendments

We reserve the right to amend these terms with 30 days’ notice to the client.
